Expertise at the intersection of law, technology, and corporate governance for boards and leadership teams navigating complex regulatory risks.

As a practitioner of corporate governance, I see the landscape shifting at an unprecedented pace. In this talk, I break down how technologies like Generative AI and the widespread use of vulnerable open-source code create new liabilities for boards, moving beyond traditional negligence to the realm of strict liability where "I didn't know" is not a defense.

I am pleased to have successfully represented a client in a significant cyber negligence case, securing a compensation of ₹2.75 Crores under the IT Act. This result underscores my capability in handling complex technology disputes and holding service providers accountable for security lapses like unauthorized SIM swaps.

At a CII Governance Series session in Delhi, I shared the stage with industry leaders like Kris Gopalakrishnan and Kunal Bahl to discuss the critical intersection of Artificial Intelligence and board governance. I emphasized that making AI a key board agenda is the first line of defense against personal liability risks for directors.

India's new Digital Personal Data Protection Act is a landmark piece of legislation that will impact every business. In this podcast series, my colleague and I decode the act, explaining its history, scope, and objectives to help you understand your new obligations as a data fiduciary.

I am proud that my team advised the founders of PeopleStrong, a leading SaaS provider, on a major stake sale to Goldman Sachs. This transaction highlights our expertise in navigating high-value deals in the HR technology and AI innovation space.

It was an honor to join esteemed leaders like Rishad Premji of Wipro at the CII Governance Series in Bengaluru. I highlighted the convergence of corporate governance and technology, noting how the rapid adoption of AI is fundamentally reshaping the fiduciary responsibilities of corporate boards.

I look forward to moderating a panel on "Navigating Gen AI" for corporate counsel at the Inter-Pacific Bar Association's conference in Chicago. This discussion will focus on the evolving landscape of AI and its direct impact on corporate legal strategy, a core area of my advisory practice.

About this collection

Our work is grounded in real results, not abstract theory. When a client faced significant financial loss due to a cyber negligence issue, we did not just provide a legal opinion; we pursued the case and secured a ₹2.75 crore compensation under the IT Act. This approach defines our practice: we identify the specific liability risks in your board operations or tech stack and provide a direct path to resolution.

The landscape of corporate governance is shifting rapidly. With the integration of Generative AI and the rise of strict liability laws, the board's fiduciary duty now extends to technical oversight that was not required even a few years ago. We do not just flag compliance gaps; we translate them into actionable business strategy.

Our Expertise in Practice

  • Board Risk Mitigation: We assist directors in understanding Section 166 liabilities, particularly regarding AI adoption and algorithmic decision-making. We move the conversation from 'what does the law say' to 'how do we keep the board protected.'
  • Tech-Legal Disputes: My team combines litigation expertise with technical understanding. Whether it is a SIM swap cyber case or a complex stake sale involving SaaS providers and global private equity, we focus on preserving value.
  • Regulatory Advisory: From the DPDPA framework to fintech self-regulation, we guide companies through the nuances of new data legislation. Our advisory is structured to prepare you for enforcement before it happens.

We regularly share our insights on these topics at forums like the CII Governance Series, engaging with industry leaders to shape the conversation around ethical leadership and digital transformation. If you are dealing with a boardroom challenge, a data breach, or a high-stakes transaction, we offer the clarity and strategy you need to move forward.

I'm Krishnava Dutt. I don't believe in legal jargon or lengthy memos that end up in a drawer. My team and I focus on the 'messy stuff'—navigating AI risks, board liability, and high-stakes transitions—so you can make decisions without looking over your shoulder.
